1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Client") and 15662524 Canada Inc. (operating as "Startcorp", "we", "us", or "our"). By accessing startcorp.ca, submitting our intake form, or purchasing any of our services, you confirm that you have read, understood, and agreed to be bound by these Terms.
If you are using Startcorp on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
If you do not agree with any part of these Terms, please do not use our website or services.
2. Who We Are
Startcorp is an online incorporation and CPA services platform operated by 15662524 Canada Inc., incorporated under the federal laws of Canada. Our CPA services are delivered through a CPA Professional Corporation regulated by CPA Ontario. Startcorp serves clients across all Canadian provinces and territories.
3. Our Services
Startcorp offers the following services:
3.1 Incorporation Services (One-Time)
- Basic ($99 + government fees): Federal NUANS name search, Articles of Incorporation preparation and filing, digital document delivery, and email support.
- Standard ($299 + government fees): All Basic services, plus provincial or federal filing choice, CPA review of share structure and articles, digital minute book setup, HST registration guidance, and priority email support.
- CPA Launch ($499 + government fees): All Standard services, plus a 30-minute CPA video call, personalized shareholder structure and agreement advice, a banking introduction letter, and same-day review.
Government filing fees are charged separately, paid directly to the applicable government registry, and are non-refundable once submitted.
3.2 Monthly CPA Plan (Ongoing)
Startcorp's Monthly CPA Plan provides ongoing accounting and compliance services. Plan details, pricing, and inclusions are set out in your service agreement at the time of engagement. General terms for Monthly CPA Plans are set out in Section 9.
4. Eligibility
To use Startcorp's services, you must:
- Be at least 18 years of age
- Be legally permitted to enter into contracts in your province or territory of residence
- Provide accurate, current, and complete information as requested
- Not be a resident of a country subject to Canadian sanctions that would prohibit us from providing services to you
5. Your Obligations
By using our services, you agree to:
- Provide accurate information: You are solely responsible for the accuracy and completeness of all information you submit. Errors or omissions in the information you provide may delay your filing, result in rejection by the government registry, or require additional fees to correct.
- Respond promptly: Timely responses to our requests for information or approvals are necessary for us to meet our turnaround commitments. Delays caused by late responses are not covered by any turnaround guarantees.
- Keep your information current: You must notify us of any changes to your information that affect an active file.
- Comply with applicable law: You are responsible for ensuring that your corporation and its activities comply with all applicable federal, provincial, and local laws.
- Not misuse our services: You agree not to use Startcorp to facilitate any unlawful activity, fraudulent purpose, or activity that violates the rights of third parties.
6. Payment & Fees
6.1 Service Fees
All prices are in Canadian dollars (CAD) and are exclusive of applicable taxes (HST/GST) unless stated otherwise. Taxes will be applied at checkout where required by law.
6.2 Government Fees
Government filing fees vary by jurisdiction and are collected in addition to our service fees. These fees are paid directly to the government registry and are confirmed before you finalize your order. Government fees are non-refundable once your filing has been submitted.
6.3 Payment Processing
Payment is required before we begin work on your file. We accept major credit cards and Interac e-Transfer. Payment details are processed securely by our payment processor; we do not store your raw payment card information.
6.4 Monthly CPA Plan Billing
Monthly CPA Plan fees are billed in advance on the first business day of each month (or as otherwise agreed in your service agreement). You authorize recurring charges for the duration of your plan. Failure to pay may result in suspension of services.
7. Scope of Services & Limitations
7.1 Not Legal Advice
Important: Startcorp is a CPA-backed incorporation and accounting service. We are not a law firm and we do not provide legal advice. Nothing in our services, documents, or communications constitutes legal advice. If you require legal advice — including advice on shareholder agreements, intellectual property, employment matters, or regulatory compliance specific to your industry — you should consult a qualified lawyer.
7.2 CPA Review Scope
CPA review services provided with the Standard and CPA Launch packages are limited to a review of your proposed corporate structure, share structure, and articles for general tax and business efficiency. This review is not a comprehensive tax opinion or legal review of your business plan, contracts, or specific industry requirements.
7.3 What Is Not Included
Unless explicitly stated in your service package, the following are not included:
- Government filing fees (charged separately)
- Quebec French language name requirements
- NUANS searches for Quebec provincial names
- Physical minute book binders
- Registered agent or resident agent services
- Trademark registration or IP protection
- Legal advice or representation
- Regulatory licensing (FINTRAC, OSC, FSRA, etc.)
7.4 Turnaround Times
Turnaround estimates (3–5 days for Basic, 2 business days for Standard, same-day review for CPA Launch) are targets, not guarantees. Actual timelines depend on government registry processing times, the accuracy of information provided, and whether additional information is required. We are not liable for delays caused by government processing or circumstances beyond our control.
7.5 Name Availability
Approval of a proposed corporation name is determined solely by the applicable government registry. We cannot guarantee that your preferred name will be approved. If your name is rejected, we will work with you to identify an alternative at no additional service charge (one revision included; further revisions may incur a fee).
8. Refund Policy
We want every client to feel confident ordering from Startcorp. Our refund policy is designed to be fair to both sides.

To request a refund, email info@startcorp.ca with your name, order reference, and reason. We will confirm receipt within 1 business day and process eligible refunds within 5–7 business days to your original payment method.
Refunds are issued in Canadian dollars. We are not responsible for any currency conversion fees charged by your financial institution.
9. Monthly CPA Plan — Specific Terms
9.1 Engagement Agreement
Before commencing a Monthly CPA Plan, you will receive a separate engagement letter outlining the specific scope of services, fees, your dedicated CPA contact, and any additional terms applicable to your plan. These Terms of Service apply in addition to that engagement letter.
9.2 Cancellation
You may cancel your Monthly CPA Plan at any time by providing written notice to info@startcorp.ca. Cancellation takes effect at the end of the current billing month — you will not be charged for the following month. No partial refunds are issued for months already billed.
9.3 Pausing
You may pause your Monthly CPA Plan once per 12-month period for up to 3 consecutive months by providing 10 days' written notice before your next billing date. Pausing is not available during active tax filing deadlines (March–June) without prior written agreement.
9.4 Your Responsibilities
For Startcorp to deliver Monthly CPA Plan services, you agree to:
- Provide complete and timely access to your books, bank statements, receipts, and records
- Respond to CPA queries within 3 business days
- Provide source documents at least 10 business days before any filing deadline
- Inform us promptly of any material changes to your business (new employees, new revenue streams, significant transactions)
Startcorp is not liable for missed filing deadlines, penalties, or CRA interest charges arising from your failure to provide information in a timely manner.
9.5 Fee Adjustments
We reserve the right to adjust Monthly CPA Plan fees with 30 days' written notice, for example where your transaction volume, number of employees, or scope of services changes materially from the original engagement. If you do not accept the adjusted fee, you may cancel under Section 9.2.
10. Intellectual Property
All content on startcorp.ca — including text, graphics, logos, icons, and software — is the property of 15662524 Canada Inc. or its content licensors and is protected by Canadian and international intellectual property laws.
The incorporation documents, minute book templates, and corporate records we prepare for you become your property upon full payment. We retain no ongoing ownership over your corporate documents. However, our internal templates, processes, and tools remain our exclusive property.
You may not reproduce, distribute, or create derivative works from any content on our website without our prior written consent.
11. Disclaimer of Warranties
Startcorp provides its website and services on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that our services will be uninterrupted, error-free, or free of viruses
- Warranties as to the accuracy, completeness, or suitability of any information on our website
We do not warrant that government registries will approve your chosen corporate name or accept your filing within any specific timeframe, as these processes are controlled solely by government authorities.
12. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, 15662524 Canada Inc. and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, arising from your use of or inability to use our services.
Our total liability to you for any claim arising from or related to our services shall not exceed the total amount you paid to us for the specific service giving rise to the claim in the 12 months preceding the claim.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.
13. Indemnification
You agree to defend, indemnify, and hold harmless 15662524 Canada Inc. and its officers, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of our services
- Your violation of these Terms
- Inaccurate or incomplete information you provided to us
- Your violation of any applicable law or the rights of any third party
14. Termination
We reserve the right to suspend or terminate your access to our services, with or without notice, if:
- You breach any provision of these Terms
- You provide materially false or misleading information
- We are required to do so by law or regulatory authority
- We discontinue a service offering (with reasonable prior notice where possible)
Upon termination for cause, no refund of service fees will be issued. Upon termination by us for any other reason, we will provide a pro-rated refund for work not yet completed.
Sections 10, 11, 12, 13, and 15 of these Terms survive any termination.
15. Governing Law & Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days of written notice, either party may pursue resolution through the courts of Ontario.
You agree that any legal proceedings shall be brought exclusively in the courts of Ontario, and you irrevocably submit to the personal jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. We will provide at least 14 days' notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. For active Monthly CPA Plan clients, we will also notify you by email.
Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your services in accordance with Section 9.2 or by contacting us before the changes take effect.
